Memorandum of UnderstandingBy and Between Midwest Generation LLC andIllinois Environmental Protection AgencyRevised 12/10/2006 3:21:06 PMMidwest Generation LLC ("MWGen") and the Illinois EnvironmentalProtection Agency ("IEPA") have reached an Agreement that will achieve deepand sustained reductions in emissions of mercury, sulfur dioxide ("S02"), andnitrogen oxide ("NOx") from MWGen's coal-fired Illinois electric generatingunits ("EGUs").
The terms of the Agreement are as follows:
